Signing of the letter of intent The Management Board of CARLSON INVESTMENTS SE with its registered office in Warsaw (Company, Issuer) informs that on August 22, 2023, a letter of intent was signed between the Issuer and HPI AG with its registered office in Munich (ISIN: DE000A0JCY37 WKN: A0JCY3) regarding negotiations and the conclusion of a binding agreement for the sale of a majority stake in the subsidiary company PAYMIQ FINANCIAL GROUP LTD neoBank (Paymiq) by the Issuer through a contribution to HPI AG, in exchange for newly issued shares of HPI AG. HPI AG is a company listed on the German market since 2007, with a portfolio of 100% stake in the company 3KV GmbH, with the annual turnover exceeding EUR 30 million. 3KV GmbH is engaged in the sale of equipment and software for companies in the cloud computing and data center segment in DACH Region. As a result of the sale of Paymiq through the exchange of shares, the Issuer will gain control over HPI AG, thus also maintaining control over Paymiq, which will receive the opportunity for rapid value growth by facilitating access to the major European stock market and the possibility of future consolidation of fintech companies on this market. The Company's Management Board considers the above information to be important in view of its strategic nature, however, it emphasizes that the transaction would still need setting final parameters and corporate approvals. August 2023 ein Letter of Intent zwischen der Emittentin und der HPI AG mit Sitz in München (ISIN: DE000A0JCY37 WKN: A0JCY3) über Verhandlungen und den Abschluss einer verbindlichen Vereinbarung über die Veräußerung einer Mehrheitsbeteiligung an der Tochtergesellschaft PAYMIQ FINANCIAL GROUP LTD neoBank (Paymiq) durch die Emittentin im Wege der Einbringung in die HPI AG gegen Gewährung von neu ausgegebenen Aktien der HPI AG unterzeichnet. Die HPI AG ist ein seit 2007 börsennotiertes Unternehmen, das zu 100% an der 3KV GmbH beteiligt ist und einen Jahresumsatz von mehr als 30 Mio. EUR erzielt. Die 3KV GmbH vertreibt Ausrüstung und Software für Unternehmen im Bereich Cloud Computing und Rechenzentren in der DACH-Region. Durch den Verkauf von Paymiq im Wege des Aktientauschs wird die Emittentin die Kontrolle über die HPI AG erlangen und damit auch die Kontrolle über Paymiq behalten, das durch den erleichterten Zugang zum großen europäischen Aktienmarkt und die Möglichkeit der zukünftigen Konsolidierung von Fintech-Unternehmen auf diesem Markt die Chance auf eine rasche Wertsteigerung erhält. Der Vorstand der Gesellschaft erachtet die oben genannten Informationen als wichtig im Hinblick auf ihren strategischen Charakter, betont jedoch, dass die Transaktion noch der Festlegung der endgültigen Parameter und der Zustimmung der Gesellschaft bedarf.
